Omni Hospitals rights issue 5.99 billion shares

JAKARTA - PT Sarana Meditama Metropolitan Tbk (SAME), the company that manages the Omni Hospitals network, plans to seek fresh funds of IDR 1.2 trillion through the issuance of 5.99 billion new shares by providing Pre-emptive Rights or rights issue.

Diana Penyami, SAME's Corporate Secretary, said that in the rights issue, PT Elang Mahkota Teknologi Tbk (EMTK) or Emtek would be the standby buyer. "EMTK as the main shareholder will exercise all of its Pre-emptive Rights, amounting to 4.31 billion rights issue," said Penyami through an information disclosure on the Indonesia Stock Exchange.

According to idnfinancials.com data, all SAME shares owned by Emtek currently reach 71.88%. Emtek became the controlling shareholder of SAME after acquiring all shares owned by PT Omni Health Care in December 2020.

Meanwhile, the other 28.12% of SAME shares are owned by public investors, with each share ownership is below 5%. For investors who do not exercise rights issue, their share ownership percentage will be diluted by a maximum of 50.42%.

On the same occasion, Penyami explained that SAME would use the proceeds from the rights issue for a number of needs. Those include paying off loans from banks, equity participation for subsidiaries, and working capital for the company itself. (KR/VA)
