Foreign companies behind SUPR massive divestment are disclosed

JAKARTA – It was revealed that three foreign corporations, which used to be the controller of 14 shareholders of PT Solusi Tunas Pratama Tbk (SUPR), were involved in the divestment of 94.03% of its shares to PT Profesional Telekomunikasi Indonesia (Protelindo) earlier this October 2021. In the said corporate action, Protelindo purchased 1,069,614,676 shares for IDR 15,640.51 each, clocking up to IDR 16.72 trillion in total.

Based on the information disclosures curated by idnfinancials.com today (11/10), the three companies in question are Carlyle Asia Partners (CAP) III LP, Cayman Islands (CAP III), Southern Capital Master Fund IIB Limited, Cayman Islands, and Southern Capital Master Fund Limited, Cayman Islands.

CAP III divested 442,654,400 shares, equal to 38.91% of SUPR’s entire issued and paid-up capital. Its subsidiaries include Cahaya Anugerah Nusantara Holdings Limited, Fajarindo Nusantara Holdings, Uniperkasa Indonesia Investments, and Perdana Indonesia Holdings.

Next, Southern Capital Master Fund IIB Limited sold 223,214,027 shares or 19.62% of its portion on SUPR. Its subsidiaries are Clearwater Insight Investment, Evergreen Digital Capital, Great Archipelago Capital, Nusantara Connectivity Ventures, Pioneering Networks Investments, and Towering Heights Investments Limited.

Lastly, Southern Capital Master Fund Limited also divested 112,575,682 shares or 9.89% of the capital through its subsidiaries, Sentral Nusantara Holdings Limited, Tumbuh Abadi Holdings Limited, and Puncak Pratama Holdings Limited.

Additionally, PT Kharisma Indah Ekaprima (KIE), managed by Jennivine Yuwono, another former shareholder, also transferred 291,170,527 shares, equal to 25.6% of SUPR’s shares.

After this corporate action, three commissioners and the president director stepped down from their positions. They are the President Commissioner, Jeffrey Yuwono; Vice President Commissioner, Ludwiq Indrawan; Commissioner, Thong Thong Sennelius; and President Director, Nobel Tanihaha. (LK/ZH)
