Trimuda Nuansa Citra to acquire Asuransi Staco Mandiri

JAKARTA – PT Trimuda Nuansa Citra Tbk (TNCA), a logistic and warehouse company, is in the middle of an acquisition over PT Asuransi Staco Mandiri (ASM) worth IDR 100.98 billion. The fund resources for this corporate action would come from the rights issue of 800 million shares of DIR 100 each.

In the information disclosure quoted Wednesday (17/11), Marius Obbert Mulia, Director of Trimuda Nuansa Citra, announced that his company purchases 96,174 shares for IDR 500 thousand each. On top of that, TNCA also buys 143,826 new shares to be issued by ASM, which are valued at IDR 126.80 billion in total. The total transaction in this corporate action amounts to IDR 227,79 billion, surpassing 50% of its equity in June 2021 of IDR 40.42 billion.

“The company is undergoing the signing process of the Revised and Restated Conditional Shares Transfer Agreement with each ASM’s shareholders,” Mulia further explained.

Several ASM shareholders divesting their shares are Dana Pensiun Bank Mandiri Dua (DPBMD), Yayasan Kesejahteraaan Pensiun Bank Dagang Negara (YKPBDN), PT Tugu Pratama Interindo (TPI), Dana Pensiun Pertamina (DPP), Dana Pensiun Karyawan BPJS Ketenagakerjaan (DPKJ), Dana Pensiun Karyawan Taspen (DPKT), PT Quartasonni Puteri (QP), Dana Pensiun Jasa Raharja (DPJR), PT Asuransi Ramayana Tbk (ASRM), and Dana Pensiun PT Asuransi Jasindo (DPAJI).

Currently, ASM’s authorised capital is reported to reach IDR 115 billion, and its issued and paid-up capital amounts to IDR 78.08 billion. Its portfolio contains stocks worth IDR 36.91 billion. The shareholders consist of DPBMD 63.68%, YKBDN (Series A) 7.68%, YKBDN (Series B) 5.89%, TPI 5.28%, DPP 3.73%, DPKJ 3.02%, DPKT 3.02%, QP 2.21%, DPJR 2.11%, ASRM 1.87%, and DPAJI 1.51%. (LK/ZH)
