Comprehensive evaluation of Tokopedia acquisition by Gojek to finish by March 2022

JAKARTA – The Indonesian Competition Committee (lit. Komisi Pengawas Persaingan Usaha/KPPU) is currently conducting a Comprehensive Evaluation of the acquisition notification submitted by PT Aplikasi Karya Anak Bangsa, Gojek managing company, of PT Tokopedia. It is targeted to be completed by March 14, 2021. As previously known, Gojek had notified the acquisition of Tokopedia last year on August 9, 2021.

In a press release quoted Friday (4/2), Deswin Nur, Head of Public Relations and Cooperation Bureau of KPPU, said that the evaluation of the said acquisition notification would occur in two stages. They are the Preliminary Evaluation and the Comprehensive Evaluation. “The preliminary evaluation takes place via analysing the market concentration to determine the potential impact of the acquisition on the business competition in the market,” he explained.

According to Nur, if the potential market impact was detected in the preliminary stage, KPPU would proceed with the comprehensive evaluation stage of this transaction as stated in the KPPU Regulation No.3/2019. The latter stage of evaluation will be conducted by Evaluation Committee, comprising three committee members.

It is also mentioned that the comprehensive evaluation will focus on analysing the market obstacles, potential anti-competition practices, efficiency, or bankruptcy. KPPU will then conclude whether or not there will be monopolistic practices or unhealthy business competition following this transaction. (LK/ZH)
