Hongkong Brunp claims 5% of MDKA in a rights issue

JAKARTA – Hongkong Brunp and Catl Co Ltd enters as the new shareholder of PT Merdeka Copper Gold Tbk (MDKA), securing 5% in a rights issue earlier this week (17/5). Adi Adriansyah Sjoekri, Corporate Secretary of MDKA, announced the change in the information disclosure quoted Friday (20/5).

“Brunp acquires 1,205,542,539 shares, equal to 5% of the company’s issued and paid-up capital. It used to have 0% of ownership,” Sjoekri confirmed.

From April 20 to 26, 2022, MDKA offered 1,205,999,956 new shares of IDR 20 each for IDR 2,830 per share. The said rights issue was carried out with a ratio of 9,401:495, in which every 9,401 old shares may gain 495 new shares.

The fresh funds sought by the company in this corporate action amounted to IDR 3.41 trillion. Then, approximately 60% of said proceed will be allocated to the working capital, debt principal payment, and PT Bumi Suksesindo (BS), its subsidiary, as a capital investment.

Three shareholders of MDKA, which include PT Saratoga Investama Sedaya Tbk (SRTG) of 18.29% ownership, PT Mitra Daya Mustika (MDM) of 12.874%, and PT Suwarna Arta Mandiri (SAM) of 6.054%, decided to reassign all their rights to Burnp in the recent rights issue, following the sale and purchase agreement signed on March 17, 2022.

Until April 2022, MDKA reported shares of 24,110,850,771 units. MDM has 12.23% of them, Garibaldi Thohir claims another 8.339%, SAM owns 5.751%, SRTG 17.378%, and the public 56.299%. The treasury stock takes up 0.003% of total shares. (LK/ZH)
