ACA to raise its control over AHAP via a rights issue

JAKARTA – PT Asuransi Central Asia (ACA), the controlling shareholder of PT Asuransi Harta Aman Pratama Tbk (AHAP), will boost its stock portion from 62.15% to 73.24% in the fourth rights issue to be held on June 17, 2022.

In the prospectus quoted Wednesday (25/5), ACA mentioned that it would claim and exercise its rights in said corporate action, which will involve 1,218,094,955 shares or 62.15% of AHAP’s issued shares worth IDR 60.90 billion in total. ACA will convert its entire subordinated loan of IDR 25 billion included in the Financial Statement in December 2021 to capital investment in the rights issue. The remaining IDR 35.90 billion will be channelled out in cash.

Currently, AHAP’s authorised capital is IDR 300 billion, while its issued and paid-up capital clocks up to IDR 147 billion. ACA controls 62.15% of them, followed by Sendra Gunawan MSME of 12.83%, PT Asian International Investindo (AII) of 7.08%, and the public of 17.94%. Meanwhile, its portfolio contains stock worth IDR 156 billion.

Assuming that ACA is the sole participant in this corporate action, AHAP’s issued and paid-up capital will increase to IDR 207.90 billion. ACA will then claim 73.24% of them, followed by Sendra Gunawan MSME of 9.07%, AII of 5.01%, and the public of 12.68%.

For context, AHAP is known to seek additional funds of IDR 98 billion by issuing 1.96 billion shares of IDR 50 each. In this corporate action, every three old shares will gain two rights issue shares in return. (LK/ZH)
