Bank Nobu to initiate a rights issue of 630,449,235 shares

JAKARTA – PT Bank Nationalnobu Tbk (NOBU) will issue 630,449,235 shares of IDR 100 each, taking place any time within 12 months after gaining approval from the Extraordinary General Shareholders Meeting scheduled on July 14, 2022. The proceeds from this rights issue will be used to reinforce the working capital and acquire assets of PT Star Pacific Tbk (LPLI) in the form of a building.

In the short prospectus quoted Tuesday (7/6), PT Putera Mulia Indonesia (PMI), the holder of 2.15% of NOBU’s shares, confirmed its decision to exercise its entire rights through cash deposit. On the other hand, PT Kharisma Buana Nusantara (KBN), the owner of 21.73% of NOBU’s shares, will not participate in the corporate action and refuse to reassign its portion to other parties.

Then, approximately IDR 35 billion of the proceeds will go to the working capital, while another IDR 368 billion will be spent on acquiring a building in Kelapa Dua, Tangerang, Banten. Said purchase is intended to be utilised as NOBU’s office.

The assets to be purchased include Graha Lippo Office and a land plot of 3,695 m2 and 2,062 m2. The agreement regarding this asset transfer was signed earlier this week (6/6). The transaction value equals 37.15% of LPLI’s total equity of IDR 990.30 billion reported in October 2021. (LK/ZH)
