Acquiring 40% of JJC, META readies IDR 4.38 trillion

JAKARTA – PT Nusantara Infrastructure Tbk (META) will spend IDR 4.38 trillion on 40% of shares of PT Jasamarga (Persero) Tbk (JSMR) in PT Jasamarga Jalanlayang Cikampek (JJC).

Dahlia Evawani, Corporate Secretary of META, claimed that the acquisition of JJC will be represented by PT Margautama Nusantara (MUN), its own subsidiary. “MUN is designed to take over a maximum of 2,265,778 shares or 40% of the entire issued and paid-up capital of JJC from Jasamarga,” she confirmed in the information disclosure earlier today (1/9).

Said transaction will be referring to the Shares Sale and Purchase Binding Agreement signed on June 30, 2022. The transaction is equal to approximately 128.02% of META’s total equity reported in June 2022 of IDR 3.42 trillion.

MUN recorded having authorised capital of IDR 1.20 trillion, as well as issued and paid-up capital of IDR 321.51 billion. Its shares were worth IDR 70 million in total.

MUN’s shareholders structure consists of META that owns 76.51% of shares, CIIF Infrastructure Holdings Sdn Bhd of another 8.47%, CAIF III Infrastructure Holdings Sdn Bhd of 4.68%, Japan Expressway International Co Ltd of 4.33%, and Japan Overseas Infrastructure Investment Corporation for Transport and Urban Development of the remaining 4.31%.
