Bank Mandiri’s portion to rise to 54% in BRIS

JAKARTA – The stock portion of PT Bank Mandiri (Persero) Tbk (BMRI) in PT Bank Indonesia Syariah Tbk (BRIS) will rise to 54% of the entire issued and paid-up capital after the rights issue that is scheduled from November 28 to December 5, 2022.

In the short prospectus quoted Thursday (29/9), Bank Mandiri, the owner of 20,905,219,379 shares of BRIS, representing 50.83% of the issued and paid-up capital, declared its commitment to purchase the new and forthcoming series B shares according to the portion of its rights.

As of now, BRIS recorded authorised capital that consists of IDR 500 of series A shares and IDR 39.99 trillion of Series B shares. Meanwhile, its issued and paid-up capital clocks up to IDR 20.56 trillion, while the stock in its portfolio holds IDR 19.43 trillion worth of shares. BMRI controls 50.83% of the shares, followed by PT Bank Negara Indonesia (Persero) Tbk (BBNI) of 24.85%, PT Bank Rakyat Indonesia (Persero) Tbk (BBRI) of 17.25%, and the public of 7.08%.

After rights issue, assuming that Bank Mandiri is the only party that exercises its rights, its portion will rise to 54.22% of the issued and paid-up capital worth IDR 22.08 trillion. BBNI will have its portion depleted to 23.13%, similar to BBRI of 16.05%, and the public of 6.59%.

In this corporate action, BRIS plans to issue 6 billion shares of IDR 500 each. The entire proceeds will be used in reinforcing user financing distribution. (LK/ZH)
