Merdeka Copper seeks funds via private placement

JAKARTA – PT Merdeka Copper Gold Tbk (MDKA) will aim for extra capital in a private placement of 2,290,485,081 shares. This corporate action will be held within two years at the latest after obtaining approval from the Extraordinary General Shareholders Meeting on June 10, 2022.

In the information disclosure quoted Thursday (5/5), Adi Adriansyah Sjoekri, Corporate Secretary of Merdeka Copper Gold, mentioned that the offering price of new shares is set to at least 90% of the average of the closing price of the last 25 days of the regular market trading. “The shares to be issued will amount to a maximum of 10% of the company’s current issued and paid-up capital worth IDR 20 each,” he explained.

Currently, MDKA’s authorised capital clocks up to IDR 1.4 trillion. Its issued and paid-up capital consists of 22,904,850,815 shares worth IDR 458.09 billion in total. The treasury stock is made up of 597,100 shares worth IDR 11.94 million, while the portfolio has 47,095,149,185 shares, all valued at IDR 941.90 billion.

Aside from the upcoming private placement, the company will hold the rights issue II. After both corporate actions, MDKA is assumed to be left with an issued and paid-up capital of IDR 528.02 billion, the stock portfolio of IDR 871.97 billion, and treasury stock of IDR 11.94 million.

Furthermore, its cash and cash equivalents will proliferate to USD 1.02 billion from USD 185.47 million, while its total assets will rise from USD 1.27 billion to USD 2.12 billion. Its total liabilities will remain stable at USD 499.18 million, while its total equity will increase from USD 779.41 billion to USD 1.62 billion. (LK/ZH)
