PermataBank divests shares of PT Sahabat Finansial Keluarga to Honest

JAKARTA - Yesterday, PT Bank Permata Tbk (BNLI) completed the transfer of part of its shares (divestment) in PT Sahabat Finansial Keluarga ("SFK"), an affiliated company of PermataBank, to Honest Financial Technologies International Private Limited ("Honest") as the holder new controlling share. SFK also increased its capital followed by the issuance of new shares to Honest.

This corporate action was carried out based on the Conditional Share Purchase Agreement between PermataBank and Honest (“CSPA”) dated 12 August 2021 and the Conditional Share Subscription Agreement between Honest and SFK (“CSSA”) dated 12 August 2021.

Upon completion of this transaction, Honest owns 71.21% shares in SFK and PermataBank remains entitled to 28.79% shares in SFK.

SFK became a subsidiary of PermataBank since December 8, 2010 through the acquisition of the former controlling shareholder of 99.998%. This PermataBank affiliate company is engaged in financing by utilizing a sales network that is widely spread in 5 major cities in Indonesia, namely Jakarta, Surabaya, Bandung, Semarang and Makassar.
