DWB gears up to 20.02% acquisition of LUCY

JAKARTA – PT Lima Dua Lima Tiga Tbk (LUCY), a restaurant developer, will arrange a mandatory tender offer (MTO) over its 497,450,200 shares of IDR 107 each. Then, as the new controlling shareholder of LUCY, PT Delta Wibawa Bersama (DWB) has announced its willingness to buy all those public shares.

In the information disclosure quoted Tuesday (21/6), the issued shares consist of 207,200,200 public shares that are equal to 20.02% of its entire issued and paid-up capital of LUCY, 160,425,000 shares (15.05%) that belong to PT Calvin Rekapital Asia (CRA), and 129,825,000 shares (12.54%) of Surya Andarurachman Putra (SAP).

LUCY’s issued and paid-up capital clocks up to IDR 10.35 billion, while the authorised capital is at IDR 20 billion. DWB’s portion will rise from 39.35% to 59.33%, while CRA has another 15.50%, SAP 12.54%, and Dimas Wibowo 12.59% (unchanged). Meanwhile, the public’s portion will increase from non-existent to 20.02%. Lastly, the portfolio also carries shares worth IDR 9.64 billion. (LK/ZH)
