VICO to take over 80% of Bank Victoria Syariah

JAKARTA – PT Victoria Investama Tbk (VICO) will take over 80% of PT Bank Victoria International Tbk’s (BVIC) potion in PT Bank Victoria Syariah (BVIS). The shares transfer is said to be worth IDR 288 billion in total.

Rusli, Vice President Director of Bank Victoria, claimed that BVIC’s portion in BVIS will be down to 19.99% after the signing of the shares transfer deed. “The company will no longer be the controlling shareholder of BVIS,” he mentioned in the information disclosure quoted Thursday (29/9).

The Share Sale and Purchase Agreement was signed yesterday (26/9). The number of BVIC’s shares that will be reassigned to VICO is capped at 288 million shares. “The major divestment over BVIS’s shares is intended to boost the company’s capital,” Rusli explained.

Furthermore, Rusli mentioned that transferring these shares to VICO aims to enhance BVIC’s agility in performing as a conventional bank, meaning that it need not to oversee its ownership in the sharia bank.

Both companies are clearly affiliated, as VICO holds 44.38% of the entire issued and paid-up capital of BVIC of 13 billion shares. Suzanna Tanojo claims another 13.29%, followed by SSB 4671 of 5.98%, and public investors of 36.61%. (LK/ZH)
