JAKARTA - PT Perdana Karya Perkasa Tbk (PKPK) will acquire 14.99 million shares of PT Deli Pratama Batubara (DPB) in PT Bhakti Harapan Sentosa (BHS). According to the current market price, the acquisition of 99.94% of DPB’s shares in BHS is IDR 170.65 billion.

Based on the short prospectus quoted Wednesday (1/11), the acquisition of DPB’s shares in BHS will take up IDR 165 billion. The money originates from the proceeds of limited offering of shares on July 23, 2023, worth IDR 238 billion. For this plan to take place, the company will hold an Extraordinary General Meeting of Shareholders on December 15, 2023.

PKPK and DPB are affiliated. DPB owns 74.17% or 890.05 million shares of PKPK and 99.94% of BHS. The remaining 25.38% of PKPK belongs to the public. BHS is known to have a subsidiary called PT Tri Oetama Persada (TOP) with a stock ownership of 70%. After this acquisition, PKPK will take over 99.94% of BHS, also the parent company of TOP.

This transaction will then raise PKPK’s total assets by 5.02% from its latest record on July 31, 2023. Total liabilities, however, will also rise 140.12%, while total equity dropped 21.47%. (LK/ZH)
