JAKARTA – PT Gaia Artha Dinamic (GAIA) is set to acquire a 49.38% stake in PT Sumber Sinergi Makmur Tbk (IOTF) from two existing shareholders.

According to an official disclosure on Monday (2/6), Aldrian Suwardi Chandra, President Director of GAIA, stated that the company is in negotiations to acquire 2.61 billion shares of IOTF from Alamsyah and Gracia Puspita Suciono.

“The purpose of this acquisition is investment, asset development, and business line integration for IOTF,” he said.

Aldrian noted that GAIA will become the new controlling shareholder of IOTF and will carry out a mandatory tender offer for public shares.

Currently, GAIA and IOTF are not directly or indirectly affiliated. The prospective controlling shareholder, GAIA, operates in the field of hosting and related activities.

As of April 2025, IOTF’s total outstanding shares stood at 5.29 billion. The ownership structure included: Alamsyah with 29.63%, Daren Suciono 29.63%, Gracia Puspita Suciono 19.75%, Elvina and Tommy Indra Anggara with 0% each, and the public with 20.99%.

The free float amounted to 1.11 billion shares or 20.99% of the total listed shares.

At present, IOTF’s share price stands at IDR 232 as of the first trading session at 11:00 AM WIB. The stock has gained 5.45% over the past week and surged 28.18% over the past month. (LK/KR/ZH)
